PUBLIC OFFER AGREEMENT

(access to Webtoolza online services)

The text below constitutes a public offer agreement between:

Sole Proprietor (FOP) Mykyta Paskhalnyi, EDRPOU/ID 3445503014, address: Ukraine, 02090, Kyiv, Praska St., 23, apt. 13, email: support@webtoolza.com (hereinafter the “Provider”),

and any individual or legal entity using the online service available at https://webtoolza.com (hereinafter the “Service”) (hereinafter the “User”), and sets out the terms for providing access to online tools and digital services.

1. General provisions

1.1. This agreement is a public offer under Articles 633, 641 and Chapter 63 of the Civil Code of Ukraine.
1.2. Acceptance of this offer is any use of the Service and/or payment for access to extended functionality.
1.3. From the moment of acceptance, the User is deemed to have fully and unconditionally agreed to these terms.
1.4.The agreement is concluded electronically and does not require a paper signature.

2. Terms and definitions

2.1. Service (Webtoolza) — a set of web pages, software modules and online tools accessible via a web browser.
2.2. Online tools — software features (calculators, notebooks, timers, alarms, generators, converters and other tools) provided for use through the Service.
2.3. Free functionality — the scope of features available without payment.
2.4. Extended (paid) functionality — additional features available after payment.
2.5. Digital access — an intangible right to use the extended functionality of the Service.

3. Subject of the agreement

3.1. The Provider grants the User access to the Service’s online tools, and the User accepts and, if choosing paid functionality, pays for such access.
3.2. The subject of this agreement is the provision of intangible services in the form of digital access to the Service functionality.
3.3. This agreement does not involve the sale of goods, transfer of physical items, or transfer of ownership of software.

4. Registration and accounts

4.1. The Service does not require mandatory registration or an account to use the core functionality.
4.2. The Service may be used without a personalized account unless expressly stated otherwise for specific features.

5. Data storage and localStorage

5.1. Some User data may be stored locally in the User’s browser (via localStorage, IndexedDB or similar technologies).
5.2. Such data is not transmitted to the Provider’s server and is not stored by the Provider unless explicitly stated otherwise.
5.3. The User understands and accepts the risk of loss of local data due to clearing browser data, using incognito mode, changing device/browser, or reinstalling the operating system.
5.4. The Provider is not liable for loss or damage of the User’s local data.

6. Paid access and Pro features

6.1. The User may voluntarily pay to obtain extended (paid) functionality.
6.2. Payment grants the User digital access to additional features described on the Website.
6.3. Paid access may be tied to a specific device or browser if explicitly stated in the Service.
6.4. Digital access does not constitute a transfer of ownership, a license, or exclusive rights to the software.

7. Payment procedure

7.1 Payments are made to FOP Mykyta Paskhalnyi, ID 3445503014, via payment systems indicated on the Website (including LiqPay or other services).
7.2. The price of paid access is shown on the Website and may be changed by the Provider before payment.
7.3. After payment, the price for the already paid access does not change for the specific User.

8. Refunds and chargebacks

8.1. Because the subject matter is intangible digital services, the User agrees that the service is deemed provided once access to paid functionality is granted.
8.2. The User understands that access may be provided immediately after payment.
8.3. Refunds are provided only where required by Ukrainian law or at the Provider’s discretion.
8.4. Initiating a chargeback without prior contact with support may be regarded as bad‑faith behavior.

9. Liability and limitation of liability

9.1. The Service is provided “as is”.
9.2. The Provider does not guarantee uninterrupted or error‑free operation of the Service.
9.3. The Provider is not liable for technical failures, loss of local data, incompatibility with a particular device/browser, indirect damages or lost profits.

10. Privacy and personal data

10.1. The Service does not require mandatory provision of personal data for basic use.
10.2. If the User voluntarily provides personal data (e.g., during payment or support contact), the User consents to its processing under the Law of Ukraine “On Personal Data Protection”.
10.3. Personal data is used solely to perform obligations under this agreement and to communicate with the User.

11. Informational messages

11.1. The Provider may send the User informational messages related to the Service operation, updates and functional changes.

12. Intellectual property

12.1. All materials, source code, design, texts and other elements of the Service are protected as intellectual property under Ukrainian law.
12.2. The User may not copy, distribute, modify or otherwise use Service materials without the Provider’s written permission, except as permitted by law.

13. Other terms

13.1. This agreement is governed and interpreted under the substantive law of Ukraine.
13.2. Invalidity of any provision does not affect the validity of the agreement as a whole.
13.3. Disputes are resolved through negotiations, and if not resolved, in court under Ukrainian law.
13.4. The Provider may unilaterally amend this agreement. The current version is always available on the Website.
